Terms of Service

By accessing or using Keelday (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these terms from time to time; continued use after changes constitutes acceptance.

Keelday is a personal goal-planning tool that helps you set strategic goals, break them into milestones, define supporting habits, and track daily actions. The Service is provided by the individual operator of keelday.com.

You are responsible for maintaining the confidentiality of your login credentials. You must provide accurate and complete information when creating an account. You may not use the Service if you are under 13 years of age.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
• Interfere with or disrupt the Service, its servers, or networks
• Upload malicious code, spam, or content that infringes on others' rights
• Use automated means (bots, scrapers) to access the Service without permission

We reserve the right to suspend or terminate accounts that violate these terms.

The Service and its original content, features, and design are owned by the Service operator and protected by applicable intellectual property laws. You retain ownership of the goals, tasks, and content you create within the Service.

You retain all rights to content you submit to the Service. By using the Service, you grant us a limited license to store and display your content solely for the purpose of providing the Service to you. We do not sell, share, or use your content for any other purpose.

The Service integrates with third-party providers:

• Google — for authentication (OAuth). Governed by Google's Terms of Service and Privacy Policy.
• Stripe — for payment processing. Governed by Stripe's Services Agreement.
• OpenRouter — for optional AI-powered goal suggestions. Governed by OpenRouter's terms.
• Resend — for transactional emails. Governed by Resend's terms.

We are not responsible for the practices or content of any third-party services.

Paid features, if offered, are processed through Stripe. Fees are billed in advance and are non-refundable unless otherwise stated. We may change pricing with 30 days' notice. You may cancel at any time; cancellation takes effect at the end of the current billing period.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability for any claim shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

You agree to indemnify and hold harmless the Service operator from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

You may stop using the Service at any time. You can delete your account through the account settings page. We may suspend or terminate your account for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes (see Privacy Policy).

These Terms are governed by the laws of the jurisdiction in which the Service operator resides, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes are posted constitutes acceptance of the modified Terms.
